Welcome to Audevo. These Terms and Conditions govern your use of the Audevo platform, marketplace, and all related services. By accessing or using Audevo, you agree to be bound by these terms. Please read them carefully.
1. About Audevo
Audevo is an independent digital music marketplace operated by Audevo OÜ, a private limited company registered in Estonia under Estonian law. Our platform allows independent artists and creators to sell digital music files directly to buyers worldwide.
2. Definitions
- “Audevo” refers to Audevo OÜ and the audevo.io platform
- “Artist” or “Vendor” refers to any individual or entity that uploads and sells music on Audevo
- “Buyer” refers to any individual who purchases music through Audevo
- “User” refers to anyone who accesses or uses the Audevo platform
- “Content” refers to any music, artwork, text or other material uploaded to Audevo
3. Eligibility
To use Audevo you must:
- Be at least 18 years of age
- Have the legal right to enter into a binding agreement
- Not be prohibited from using our services under applicable law
By registering an account you confirm that all information you provide is accurate and truthful.
4. Artist Terms
4.1 Uploading Music
Artists may upload original music in MP3, WAV, or AIFF format. By uploading content to Audevo you confirm that:
- You are the original creator or hold full rights to the music
- The music does not infringe any third party copyright, trademark or intellectual property rights
- You have the right to sell the music commercially worldwide
- The content complies with our Content Policy (Section 7)
4.2 Commission and Payouts
Audevo charges a 13% commission on every sale. Artists receive 87% of the sale price they set. Once an artist reaches a cumulative total of $5,000 USD in revenue on Audevo, the commission rate automatically drops to 9%, rewarding artists for their growth and loyalty on the platform. Payouts are processed through Stripe and are subject to Stripe’s own terms and processing times. Audevo reserves the right to adjust commission rates with 30 days written notice to artists.
4.3 Pricing
Artists set their own prices in USD. Audevo reserves the right to display suggested pricing guidelines but does not control individual artist pricing.
4.4 Artist Responsibilities
Artists are solely responsible for:
- The accuracy of their track metadata (title, BPM, key, genre, language)
- Ensuring their music does not violate any laws in their country of residence
- Paying any applicable taxes on income earned through Audevo
- Maintaining accurate payout information
5. Buyer Terms
5.1 Purchases
All sales on Audevo are final. Due to the digital nature of music files, we do not offer refunds once a file has been downloaded, unless the file is corrupt or not as described.
5.2 License
When you purchase music on Audevo you receive a personal, non-exclusive, non-transferable license to use the music for personal listening purposes only, unless otherwise stated by the artist. Commercial use, sync licensing, or redistribution requires explicit written permission from the artist.
5.3 Downloads
Purchased files are available for download immediately after payment confirmation. Audevo stores your purchase history so you can re-download files if needed. We cannot guarantee file availability indefinitely.
6. Payments and Currency
All transactions on Audevo are processed in US Dollars (USD) via Stripe. Audevo does not store payment card information. All payment processing is handled securely by Stripe and subject to Stripe’s terms of service.
7. Content Policy
Audevo welcomes both human-created and AI-assisted music. All content uploaded must:
- Be original music or music for which you hold full rights
- Not contain samples, loops or third party material without proper licensing
- Not promote violence, hatred, discrimination or illegal activity
- Not contain explicit sexual content without prior written approval from Audevo
- Not infringe any copyright, trademark or intellectual property
Audevo reserves the right to remove any content that violates this policy without notice and to suspend or permanently ban accounts that repeatedly violate these terms.
8. Intellectual Property
Audevo does not claim ownership of any music uploaded by artists. Artists retain full ownership of their music at all times. By uploading to Audevo, artists grant Audevo a limited, non-exclusive license to display, promote and deliver their music through the platform for the purpose of facilitating sales.
The Audevo name, logo, and platform design are the intellectual property of Audevo OÜ. They may not be used without written permission.
9. Account Termination
Audevo reserves the right to suspend or terminate any account at any time if a user violates these terms, engages in fraudulent activity, or causes harm to other users or the platform. Users may close their account at any time by contacting us at support@audevo.io.
10. Limitation of Liability
To the maximum extent permitted by Estonian and EU law, Audevo OÜ shall not be liable for any indirect, incidental, special or consequential damages arising from your use of the platform, including but not limited to loss of revenue, loss of data, or business interruption.
11. Privacy
Your use of Audevo is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices.
12. Governing Law
These Terms are governed by the laws of the Republic of Estonia. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the Estonian courts.
13. Changes to These Terms
Audevo reserves the right to update these Terms at any time. We will notify registered users of significant changes by email. Continued use of the platform after changes constitutes acceptance of the updated Terms.
